Terms of Service

Acceptance of Terms

By accessing or using the Kyros platform (the “Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms. If you do not agree, please do not use the Service.

Service Description

Kyros is a transport management platform built for Southern Africa. The Service provides tools for:

• Fleet management — vehicle tracking, maintenance schedules, and compliance monitoring
• Shipment operations — booking, dispatch, route management, and delivery tracking
• Human resources — driver management, leave tracking, attendance, and payroll
• Finance — invoicing, expense tracking, and financial reporting
• Document management — storage, extraction, and organisation of transport documents

We reserve the right to modify, update, or discontinue features of the Service at any time with reasonable notice.

Account Responsibilities

When you create an account, you agree to:

• Provide accurate and complete registration information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activity that occurs under your account
• Maintain up-to-date contact information

If you are an organisation administrator, you are responsible for managing user access and ensuring team members comply with these terms.

Data Ownership

You own your data. All fleet records, shipment data, documents, and operational information you enter into Kyros remains your property.

Specifically:

• You retain all rights, title, and interest in your data
• You grant us a limited licence to process your data solely to provide the Service
• We will not use your data for purposes unrelated to delivering the Service
• You may export or request deletion of your data at any time
• Upon account termination, we will provide a reasonable period for you to export your data

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations of Zimbabwe or any other relevant jurisdiction
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to other accounts or systems
• Interfere with or disrupt the Service infrastructure
• Use automated tools to scrape, crawl, or extract data from the platform
• Resell, sublicense, or redistribute the Service without written consent
• Misrepresent your identity or affiliation

Payment Terms

If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a monthly or annual basis, depending on your plan. All fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice.

Limitation of Liability

To the maximum extent permitted by Zimbabwean law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not guarantee that the Service will be uninterrupted, error-free, or completely secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for decisions made based on data or reports generated by the platform

Indemnification

You agree to indemnify and hold harmless Possivel (Pvt) Ltd, its officers, directors, and employees from any claims, losses, or damages arising from your use of the Service, your violation of these terms, or your infringement of any third-party rights.

Termination

Either party may terminate this agreement:

• You may close your account at any time through the platform settings or by contacting us
• We may suspend or terminate your account for violation of these terms, with notice where practicable
• We may terminate the Service entirely with 90 days' written notice

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be permanently deleted.

Governing Law

These terms are governed by and construed in accordance with the laws of Zimbabwe. Any disputes arising from these terms or the Service shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.

Changes to These Terms

We may revise these Terms of Service at any time. Material changes will be communicated via email or an in-platform notification at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.
